Syndication Licence

This Syndication Licence (the “Licence”) governs the exclusive right to publish THRINV articles in one market. It is entered into between THRINV Publishing OÜ, a company registered in Estonia (registry code 17528410) at Ahtri 12, 15551 Tallinn, Estonia (“THRINV”, “we”, “us”), and the publisher who subscribes to it (the “Licensee”, “you”). Subscribing at account.thrinv.com constitutes acceptance of this Licence.

1. What is licensed

THRINV publishes news analysis written in the first person by Jan Verellen, author of Thrones of the Invisible, reading current events through the argument of that book. Roughly one article a day is produced.

The English text is the authoritative work. Alongside it we supply a machine translation into your contracted language as a working version, provided as-is and without warranty of accuracy. You are responsible for what you finally publish.

2. The market, and what “exclusive” means here

Your Licence covers one market: a combination of language and country (for example Dutch in Belgium, which is a different market from French in Belgium). For as long as your Licence is active we will not grant a Licence for that market to any other publisher.

Two limits on that exclusivity are stated plainly rather than buried:

• We publish the same articles on our own sites at <language>.thrinv.com after the exclusivity window in clause 3 has passed. Your exclusivity is against other publishers, not against us.
• Other markets are licensed separately. A reader in your country can find the article on another publisher's site in a different language, and the internet does not respect borders. We licence the market; we cannot fence the audience.

3. The exclusivity window

Each article is delivered to you the moment it is published. From that moment until the next edition day — the 2nd of the following month, 05:00 UTC, and never less than 24 hours after delivery — it is withheld from readers everywhere else: it is not readable on any THRINV site, it is not sent to our members, and it is not indexed. That window is yours, and it is what you are paying for.

On the edition day the article becomes available to our members on our own sites, and the month's localized edition goes to our THRINV News members in your market — readers, not publishers; your exclusivity against other publishers is untouched.

4. What you may do with an article

• Publish it in your titles in the contracted language, in print and online, for the duration of the Licence.
• Translate it, edit it for length and house style, and write your own headline.
• Add your own reporting and local context, clearly distinguished from the original text.
• Keep it in your archive after the Licence ends. Articles published during the term stay published.

5. What you may not do

• Change the meaning of an article, or edit it so that it argues something it does not argue. Beyond this Licence, the author's moral rights under Estonian and EU law protect the work against distortion, and those rights cannot be signed away.
• Sub-licence, resell, or syndicate the articles onward to another publisher.
• Publish before the article reaches you, or share it outside your organisation during the exclusivity window.
• Use the articles, in whole or in part, to train, fine-tune, or evaluate a machine-learning model, or supply them to a third party for that purpose.

6. Attribution and AI transparency

Every published article must carry an attribution naming Jan Verellen as the author and THRINV as the source, in the manner customary in your market.

Origin and transparency. THRINV articles are written in the author's first person and produced with AI assistance under editorial control. Every language version passes an automated quality gate and a second, substantive review; no article is released without human editorial sign-off. You undertake to make this origin visible to your readers, in the manner customary in your market, and at minimum to state that the article was produced with AI assistance.

This is not a formality. If one publisher conceals it and that becomes known, the damage reaches every title carrying our work. Concealment is a material breach and entitles us to terminate the Licence with immediate effect.

7. Fees, the free first month, and term

• The fee depends on the market: €5,000, €3,500 or €2,000 per month, shown before you subscribe. Fees are exclusive of VAT.
• The first month is free. Your market is reserved for you from the moment you subscribe, not from the first payment.
• The Licence runs monthly and renews automatically until cancelled. You may cancel at any time from your licence dashboard or the Stripe billing portal.
• Cancelling stops future renewals and releases the market at the end of the paid period, after which it may be licensed to another publisher.
• You are a business customer. Invoices are issued in the name and at the address you provide at checkout. We ask for your VAT number so that it appears on the invoice and so that we can monitor our own registration thresholds.
• THRINV Publishing OÜ is not currently registered for VAT, so no VAT is charged and none may be recovered on these invoices. Should we become registered, VAT will be applied from that date in accordance with the rules then in force, and for EU business customers with a valid VAT number that will normally mean the reverse charge rather than an increase in what you pay.

8. The localized edition

For every article we produce a localized edition for your market, included in the fee: the same argument rebuilt around your country's own data, institutions and debate, in your language, with its own headline and its own local sources. It reaches you through your feed alongside the English original and the working translation, and under Syndicate news on your language edition of thrinv.com, visible only to you.

The localized edition is produced with the same AI assistance and editorial controls as the articles themselves, and the working-copy principle of clause 1 applies to it equally: you edit, you decide, you are responsible for what you publish. On days when a localized edition fails our own checks we deliver the working translation only.

9. The Licence is to publish

An exclusive licence takes your market off the board: while you hold it, no other publisher in your language and country can be licensed. It is granted on the understanding that you use it.

If no licensed article has appeared in your titles for sixty consecutive days, we may end the Licence at the end of the following month and return the market to the open list. We will write to you first, and a period in which we ourselves published nothing does not count against you.

This is not a quota. How much of what we send you run, and when, is your editorial decision and will stay that way — we are asking only that the licence be a licence to publish rather than a way of keeping the work out of a market.

10. Delivery, and what happens if it fails

Articles are delivered through an authenticated feed and by email. We aim for roughly one article a day but do not guarantee a number: some days carry nothing worth publishing, and we would rather send you nothing than send you filler. If delivery fails for more than seven consecutive days through our fault, you may cancel with immediate effect and we will refund that month pro rata.

11. Liability

We take reasonable care over accuracy and check every language version, but the articles are analysis and opinion, and you decide what to publish. You are responsible for the version you publish and for compliance with press law in your market. Our total liability under this Licence in any twelve-month period is limited to the fees you paid in that period. Nothing here limits liability that cannot be limited by law.

12. Termination

Either party may terminate at the end of any monthly period. We may terminate with immediate effect if you breach clause 5 or clause 6, and at the end of the following month in the case described in clause 9. On termination your right to publish new articles ends; articles already published may remain published.

13. Governing law

This Licence is governed by Estonian law, and the courts of Estonia have jurisdiction, without depriving you of any mandatory protection available to you under the law of your own country.
